Fred Vilbig has had a diverse practice experience, representing small businesses, individuals, and both small and large religious, tax-exempt organizations.

Small businesses: Fred has assisted owners of small businesses in the selection and formation of the form of the business entity. He has worked with clients in the preparation of pre-incorporation agreements, confidentiality agreements, and subscription agreements in the process of raising capital either for start-up businesses or for expansion of an existing business. Fred has advised clients regarding and prepared shareholder agreements to insure the continued ownership of a business enterprise by other shareholders of their immediate family. In addition, he has served as general counsel to closely-held businesses, which included the preparation of minutes and the review of policies and contracts.

Individuals: Fred has advised individuals in regard to the development of their estate plans and in the preparation of wills, revocable trusts, financial and health-care durable powers of attorney, and living wills. He has assisted clients in planning for the succession of closely-held businesses to younger generations. He also has assisted high-net-worth individuals in planning for the continued enjoyment and ultimate disposition of assets with a minimum of tax costs, including the use of family limited partnerships, discount planning, gifting, generation-skipping transfer tax planning, and charitable gift planning. In connection with these planning opportunities, Fred has also represented individuals before the IRS in estate and gift tax administrative hearings.

Religious, Tax-Exempt Organizations: Fred has assisted charities in the use of estate planning in fundraising, including the use of charitable remainder trusts, pooled income funds, and charitable gift annuities ("planned giving"). He also has assisted them in their formation and application for tax exemption. He has assisted tax-exempt organizations in the acquisition and/or development of facilities designed for the elderly and the handicapped, including the financing of facilities through HUD loans and the issuance of tax-exempt bonds. In addition, Fred has represented tax-exempt organizations in administrative hearings before and in the request for private letter rulings from the IRS in connection with charitable gifts and the unrelated business income tax.
